(1) Any public limited company incorporated in Nepal or an organized organization authorized under the prevailing law to issue securities may, with the approval of the Nepal Rastra Bank and the Securities Board, issue bonds, debentures or other securities in the capital markets of foreign countries to take loans or obtain foreign currency. .
(2) A company incorporated in Nepal with foreign investment may issue securities and take loans within Nepal subject to the prevailing laws related to securities.
(3) According to sub-sections (1) and (2), the loan or foreign currency obtained by issuing securities must be invested in Nepal.
(4) Other provisions related to the issuance of securities under this section shall be in accordance with the prevailing law relating to securities.
